These Terms of Service (“Terms”) are an agreement between you and CoffmanHost, a small US business run by Weldon Coffman (“CoffmanHost”, “we”, “us”). They apply to our websites, the CrewPanel control panel, and our hosting, email, and website services (the “Services”). By using the Services, you agree to these Terms, our Acceptable Use Policy, our Privacy Policy, and our Service Levels & Support page.
1. Your account
- You must be at least 18 years old and able to enter into a contract.
- Give us accurate contact information and keep it up to date. We use it for security, billing, and service notices.
- Keep your passwords secret. You are responsible for everything that happens under your account, including activity by anyone you give access to.
- Tell us promptly through the contact form if you think your account has been compromised.
2. Plans, fees, and payment
- The plan, price, and billing period for your account are the ones we agree with you when you sign up, as shown on your quote or invoice.
- Hosting plans (and the Website Care plan) are billed monthly or yearly, in advance, depending on the billing period you choose. Yearly billing is priced at ten times the monthly price. If a payment is overdue, we may suspend the Services after giving you notice, and restore them once the account is paid.
- If we change our prices, we will give you at least 30 days’ notice before the change applies to your account.
- Plan limits (such as websites, disk space, databases, and email accounts) are shown on our hosting page and in CrewPanel.
3. Cancellation and refunds
- You can cancel at any time by contacting us. Your service stays active until the end of the period you have already paid for (month or year), unless you ask us to close it sooner.
- Unless we agree otherwise in writing or the law requires it, fees already paid are not refunded for partial periods.
- Please download any files, databases, and email you want to keep before your service ends. After an account is closed, its data is deleted and may not be recoverable.
4. Website projects
For website build or care packages, the scope, price, and timeline are set out in the quote we agree with you. Once you have paid for a finished website, you own the content we create specifically for you. Third-party software, themes, fonts, and images remain subject to their own licenses.
5. Your content
You keep all rights to the content you host with us. You give us permission to store, copy, and serve it only as needed to provide the Services. You are responsible for your content and for having the rights to use it, and it must follow our Acceptable Use Policy.
6. Backups
CrewPanel lets you make on-demand backups, but you are responsible for keeping your own copies of your website, databases, and email. We are not responsible for lost data, although we will always try to help you recover it.
7. Availability and changes
We work to keep the Services running reliably, but we do not guarantee that they will be uninterrupted or error-free (see Service Levels & Support). We may improve or change features over time. If we make a change that significantly reduces what your plan includes, we will tell you in advance.
8. Suspension and termination
We may suspend or close an account that breaks these Terms or the Acceptable Use Policy, that goes unpaid, or that puts our systems, other customers, or the public at risk. We will usually contact you first and give you a chance to fix the problem, unless there is an urgent risk or a legal requirement to act immediately.
9. Disclaimer
The Services are provided “as is” and “as available”. To the extent the law allows, we disclaim all warranties that are not stated in these Terms, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
10. Limitation of liability
To the extent the law allows, CoffmanHost is not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, or data. Our total liability for any claim relating to the Services is limited to the amount you paid us for the Services in the three months before the claim arose.
11. Indemnity
If someone makes a claim against us because of your content or your use of the Services in breach of these Terms, you agree to cover our reasonable costs of dealing with that claim.
12. Changes to these Terms
We may update these Terms from time to time. We will change the date at the top of this page, and for significant changes we will let customers know by email before they take effect. If you keep using the Services after that, the new Terms apply.
13. General
These Terms are governed by the laws of the State of Texas and applicable federal law of the United States, without regard to conflict-of-law rules. Any dispute that cannot be resolved informally will be handled in the state or federal courts located in Texas, and you and we agree to that venue. If any part of these Terms cannot be enforced, the rest remains in effect. These Terms, together with the policies linked above and any quote or invoice we agree with you, are the whole agreement between you and us about the Services.
